These terms explain how you can use A2B, what we promise you and what we ask of you. Our agents only act with your approval, and you can stop using A2B at any time.

1. About these Terms

These Terms of Service ("Terms") are an agreement between A2B Software LLC ("A2B Software", "we", "us") and the business or organisation that signs up for or uses our products ("Customer", "you"). They apply to A2B Insights, A2B ERP, any other product we offer, and our website, apps and APIs (together, the "Products").

By creating an account, clicking "I agree", or using the Products, you accept these Terms. If you accept them on behalf of a business, you confirm you have authority to bind it. If you have signed an order form or separate agreement with us, that document applies where it conflicts with these Terms.

2. Our Products

A2B Insights helps businesses analyse their data and track performance. A2B ERP helps businesses manage operations such as finance, inventory, sales and purchasing. We may launch new products, which will also be covered by these Terms unless they have their own terms.

Some features may be marked as beta, preview or early access. These are offered as they are, may change or be removed, and are not covered by our uptime commitment.

3. Accounts and users

  • The Products are for business use. Users must be at least 18 years old.
  • You must give accurate information and keep it up to date.
  • Your account administrator controls which users have access and what they can do. You are responsible for everything done under your account.
  • Keep login details secure, and tell us right away if you suspect unauthorised access.
  • Each user login is for one person and must not be shared, unless your plan allows otherwise.

4. Your licence to use the Products

While your subscription is active and you follow these Terms, we give you a limited, non-exclusive, non-transferable right to use the Products for your internal business purposes, within the limits of your plan. You do not buy the software; you get a right to use it. All rights not expressly granted remain with us.

5. Acceptable use

You must not, and must not allow anyone else to:

  • Copy, modify, reverse engineer, decompile or try to extract the source code of the Products.
  • Resell, rent, sublicense or offer the Products to third parties, unless we agree in writing.
  • Use the Products to build a competing product.
  • Break security, probe for vulnerabilities without permission, or interfere with the Products or other customers.
  • Upload malware, or content that is illegal, infringing or harmful.
  • Exceed usage limits, or use automated means to access the Products other than through our documented APIs.
  • Use the Products in breach of any law, including data protection, export control and sanctions laws.

6. Plans, trials and payments

  • Plans: Features, user limits and prices for each plan are shown on our pricing page or in your order form.
  • Free trials: If we offer a trial, it lasts for the period shown at sign-up. At the end of the trial, you must choose a paid plan to keep using the Products. We will update you on trial terms once finalized.
  • Billing and renewal: Subscriptions are billed in advance, monthly or yearly, and renew automatically for the same period unless cancelled before the renewal date. We will update you on pricing once finalized.
  • Taxes: Prices exclude GST, VAT and other taxes, which are added where applicable.
  • Late payment: If payment is overdue, we may suspend access after giving notice. We will update you on the exact timeline once finalized.
  • Price changes: We will give advance notice before any price change takes effect at your next renewal.

7. Cancellation and refunds

You can cancel your subscription at any time from your account settings or by contacting us. Cancellation stops future renewals, and you keep access until the end of the current billing period. We will update you on our refund policy once finalized.

8. Your data

  • You own all data you enter into or connect to the Products ("Customer Data"). You give us permission to host, process and use it only to provide, secure, support and improve the Products, as described in our Privacy Policy.
  • You are responsible for the accuracy and legality of Customer Data, and for having the rights and consents needed to store it in the Products.
  • We may use anonymised, aggregated data that does not identify you or any person to improve our Products.
  • After your subscription ends, you can export your Customer Data for a limited period. We will update you on the exact period once finalized. After that, we delete it as described in our Privacy Policy.

9. Availability, uptime and support

  • Uptime commitment: We aim to keep our paid Products reliably available, excluding scheduled maintenance, emergency fixes, beta features, and problems caused by events outside our control, by you, or by third-party services you use. We will update you on our uptime commitment once finalized.
  • Maintenance: We schedule maintenance outside normal business hours where possible and give advance notice for planned downtime.
  • Support: We provide support during business hours. We will update you on support channels and hours once finalized. Response times may vary by plan.
  • Backups: We back up Customer Data regularly, but you should keep your own copies of important data.

10. Updates and changes to the Products

We regularly improve the Products and may add, change or remove features. We will not make changes that materially reduce the core functionality of your paid plan during your current subscription term. We will notify you in advance of major changes.

11. Third-party integrations

The Products may connect with third-party apps and services, such as payment gateways, banks, accounting tools or messaging apps. Your use of them is governed by their own terms. We are not responsible for third-party services, and you allow us to exchange data with them when you enable an integration.

12. Intellectual property and feedback

The Products, including software, designs, documentation, the names "A2B Software", "A2B Insights" and "A2B ERP", and our logos, belong to A2B Software and are protected by intellectual property laws. If you send us suggestions or feedback, we may use them freely without any obligation to you.

13. Confidentiality

Each party will keep the other's non-public business information confidential and use it only for the purpose of these Terms, except where disclosure is required by law.

14. Warranties and disclaimers

We will provide the Products with reasonable skill and care, and they will work materially as described in our documentation. Apart from this, the Products are provided "as is" and "as available". To the extent permitted by law, we disclaim all other warranties, including merchantability, fitness for a particular purpose and non-infringement.

Reports, insights, forecasts and calculations produced by the Products depend on the data you provide. They are tools to support your decisions, not financial, tax, accounting or legal advice. Please check important results before relying on them.

15. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue, goodwill or data, even if advised they were possible.

Our total liability arising from these Terms or the Products is limited to the fees you paid us. We will update you on the exact limit once finalized. These limits do not apply to your payment obligations, breach of the acceptable use rules, or liability that cannot be limited by law.

16. Indemnity

You agree to defend and compensate A2B Software against claims by third parties arising from your Customer Data, your misuse of the Products, or your breach of these Terms. We agree to defend you against third-party claims that the Products, used as permitted, infringe their intellectual property rights.

17. Suspension and termination

  • You can stop using the Products and cancel at any time, as described in section 7.
  • We may suspend access immediately if your use threatens the security or stability of the Products, breaks the law, or seriously breaches these Terms. Where possible, we will warn you first and give you a chance to fix the problem.
  • Either party may end the agreement if the other seriously breaches these Terms and does not fix it within 30 days of notice.
  • Sections that by their nature should continue, such as intellectual property, data export, liability, indemnity and governing law, continue after termination.

18. Governing law and disputes

These Terms are governed by the laws of India. The parties will first try to settle any dispute through good-faith discussion. If it is not settled within 30 days, it will be finally resolved by arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat of arbitration is Jaipur, Rajasthan, India, and the proceedings will be in English. Either party may seek urgent interim relief from a competent court.

Nothing in these Terms takes away mandatory consumer or other rights you may have under the laws of your own country.

19. General

  • Changes to Terms: We may update these Terms. We will notify account admins at least 30 days before material changes take effect. Continuing to use the Products after that means you accept them.
  • Force majeure: Neither party is responsible for delays caused by events beyond its reasonable control, except payment obligations.
  • Assignment: You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or reorganisation.
  • Severability and waiver: If any part is found invalid, the rest stays in effect. Not enforcing a right does not waive it.
  • Entire agreement: These Terms, your order form, our Privacy Policy and any Service Level Agreement form the whole agreement between us.
